This was published in 2010 when there was a heated debate on the applicability of the
OHADA treaty and Uniform Acts in Cameroon. It explores and states the law of securities, as
applicable in Cameroon and the other OHADA Uniform Acts. It is important to point out that
most of the material in this book is still relevant because though based on 1997 Uniform Act
on Securities, a large part of the provisions of that act are intact having just been re-located.
Besides, the revised act provides in its section 277 that the 1997 Act governs all transactions
entered into before May 16, 2011- the date that the revised act entered into force.

Abstract
This was published in 2010 when there was a heated debate on the applicability of the
OHADA treaty and Uniform Acts in Cameroon. It explores and states the law of securities, as
applicable in Cameroon and the other OHADA Uniform Acts. It is important to point out that
most of the material in this book is still relevant because though based on 1997 Uniform Act
on Securities, a large part of the provisions of that act are intact having just been re-located.
Besides, the revised act provides in its section 277 that the 1997 Act governs all transactions
entered into before May 16, 2011- the date that the revised act entered into force.
This first edition also stresses the numerous benefits associated with the effective
implementation of the OHADA treaty and legislations in Cameroon. Also, it discusses the
language problem that was raised by adopting French as the working language of OHADA,
which was corrected (article 42 new) with the revision of the OHADA Treaty on October 17,

2008 in Quebec, Canada. The English Law of Mortgages is discussed for the purpose of
completeness and comparism.
Generally, the bottom line is the need to address the concerns of students, legal
practitioners and the public at large, given that the law on securities is a very technical.

Ce livre a été écrit en 2010 lors d’un débat houleux sur l’applicabilité du traité
OHADA et des actes uniformes au Cameroun. Il explore et énonce la loi sur les sûretés, telle
qu’applicable au Cameroun et dans les autres États membres du OHADA. Il est important de
souligner que la plupart des informations contenues dans ce livre sont toujours pertinentes
car, bien qu’elles soient basées sur la loi uniforme de 1997 sur les sûretés, une grande partie
des dispositions de cette loi sont intactes et viennent d’être déplacées. De plus, la loi révisée
prévoit dans son article 277 que la loi de 1997 régit toutes les transactions conclues avant le
16 mai 2011, date à laquelle l’acte révisé est entré en vigueur.
Cette première édition souligne également les nombreux bénéfices associés à la
mise en œuvre effective du traité et des législations OHADA au Cameroun. En outre, il
aborde le problème linguistique soulevé par l’adoption du français comme langue de travail
de l’OHADA, qui a été corrigé (article 42 nouveau) avec la révision du traité OHADA le 17
octobre 2008, au Québec – Canada. Le droit anglais des hypothèques est discuté aux fins de
complétude et de comparabilité.
Généralement, la ligne de fond est la nécessité de répondre aux préoccupations des
étudiants, des praticiens du droit et du public en général, en donnant que la loi sur les sûretés
est un domaine très technique.
